Vice President Corporate Secretary

Our Vice President and Corporate Secretary will advise the Board of Directors and senior management and be responsible for assuring that Acuity complies with regulatory and statutory corporate governance requirements and executing the decisions of the Board.  This individual will oversee functions related to corporate governance, corporate and securities law compliance, and stockholder services. This position reports to the Senior Vice President, General Counsel and works closely with the board of directors and senior members of management.

 

PRIMARY ACCOUNTABILITIES

 

Board and Committee Operations (30%)

  • Prepare notices, agendas, and action items for Board and committee meetings.
  • Supervise the preparation and timely distribution of materials on the Diligent platform to Board before meetings, including coordination with internal and external resources.
  • Ensure (with administrative support from others) proper logistical arrangements are made for all activities (i.e., dinners, meeting space, virtual conferencing, refreshments, transportation, and accommodations).
  • Prepare Board and committee minutes in a clear and concise form.
  • Prepare and circulate consents, as needed, in lieu of formal meetings.
  • Act as liaison between directors, committee chairs, and management.

 

Corporate Governance (30%)

  • Review and, if necessary, revise the Board committee structure and responsibilities.
  • Review and, if necessary, revise Corporate Governance policies.
  • Prepare and assist with annual Board and Committee evaluations and/or surveys.
  • Assist with director candidate research, including background checks, independence review, and related person review of potential candidates.
  • Provide recommendations regarding committee composition and/or rotation.

 

Securities Law Compliance (5%)

  • Provide advice on Federal securities law compliance related to the Company’s Proxy Statement, Forms 8-K, 10-Q, 10-K, and Section 16 Reports.
  • Provide support in such matters to the Company’s Disclosure Committee.
  • Review and provide advice on securities law and related aspects of the Company’s investor presentations, earnings, and other press releases and related materials.

 

Annual Meeting and Stockholder Relations (10%)

  • Prepare agenda, script, minutes, ballots, and other meeting papers.
  • Supervise the planning, setup, and dress rehearsal, as necessary.
  • Prepare proxy materials and ensure timely filing with SEC.
  • Coordinate mailing and voting process with transfer agent and/or other outside vendors.
  • Prepare and distribute directors’ and officers’ questionnaires.
  • Act as liaison with the transfer agent, including coordination of routine matters, authorization of non-routine transactions such as stock transfers, certificate issuance, removal of restrictive legends, stockholder records, dividend disbursement, dividend reinvestment, direct purchase, proxy voting procedures, and individual stockholder relations.
  • Participate in annual stockholder outreach prior to and in conjunction with proxy voting.

 

Director Compensation and Benefits (5%)

  • Oversee administration of director compensation plans (equity and deferred compensation), including calculation of annual fees and payment thereof.

 

Other Governance Matters (20%)

  • Act as liaison and ensure compliance with NYSE requirements.
  • Oversee subsidiary record keeping (with administrative support from others) including maintenance of minute books, filing annual registrations, and coordination with and selection of registered agents.

 

QUALIFICATIONS

  • Minimum 8 years of relevant experience; prior in-house experience preferred
  • JD Degree and admission to at least one state Bar
  • Substantial background in U.S. securities law required; experience with NYSE registrants preferred
  • Strong interpersonal, analytical, problem-solving, and organizational skills.
  • Strong verbal/written communication skills and ability to communicate effectively at all levels
